The Board of Directors meets monthly to assure the the Catherine Creek Community Center, the historic building and it multiple programs operate smoothly. The Board of Directors also hosts several fundraising events a year.

Functions of a Board

The Board of Directors is responsible for providing direction for the organization and assistance to the Executive Director.  The Board must ensure objectives and bylaws of the organization are adhered to and reviewed as needed. 


The board of Directors oversees the development of the annual goals and programs, approves the budget reviews and passes committee reports, and directs the general activities of the Catherine Creek Community center.  The Board assumes responsibility for final decisions except those made by referendum or public meeting.  


A Director as an individual has no authority to commit the Catherine Creek Community Center  to any action or policy.  Directors have a right to exert influence with the Board for approval of such actions and policies as s/he favors but authority does not go beyond individual votes; and should abide by all decisions of the Board.  The Director is not authorized to speak for the Catherine Creek Community Center except on matters where the Catherine Creek cCommunity Center has clearly defined and formed policy.


Members of the Board of directors must take active interest in the Catherine Creek Community Center as well as the operation of the committees. By accepting the position of Directo, s/he is a decision- maker assuming responsibility for the administration of the Catherine Creek Community Center, its assets, its liabilities, its contract and over all policies.  A Director shall act honestly, in good faith and in the best interstate of teh membership.


Responsibilities of the Board; 

  1. Determine and periodically reevaluate the Catherine Creek Community center’s Mission, bylaws, and policies

  2. Ensure effective and strategic plans are created for implementation of the mission of the Catherine Creek Community Center.

  3. Adopt an annual budget to support the strategic plan.  Closely monitor the fiscal health of the Catherine Creek Community Center.

  4. Establish fundraising goals and take a leadership role in achieving them.

  5. Enhance the Catherine Creek Community Center’s public standing and function as ambassadors for the Catherine Creek Community Center membership.

  6. Monitor, ensure and take responsibility for the legal ethical and fiscal integrity of the Catherine Creek Community center.

  7. Recruit, elect and orient an effective dense Board and membership.

  8. Speak with one voice as a corporate body.  No individual member may speak for the Board of Directors. 

  9. Conduct a thorough annual evaluation process of the performance of the Executive Director. 

  10. Encourage two-way communication thorough the year in order to achieve the fullest possible understanding of all expectations, and thereby improve job performance. 

  11. Enable the Board of Director to evaluate the Executive Director, and all aspects of the Catherine Creek Community Center.  For which they are responsible, including but not limited to program efficacy, effectiveness and quality,, fiscal management, supervision, and team leadership, fundraising marketing, community relations, risk management and building management. 

  12. Provide the Board with a clear picture of Catherine Creek Community Center’s status to chart the future more effectively. 

  13. Hold the Executive Director accountable up to and including dismissal in the event s/he is unable to perform the duties of the position to an acceptable level. 


3. Board of Directors- Job Description and Expectations

Requirements/Duties:


  1. Be committed to the work of the organization by supporting and advocating the mission of the Catherine Creek Community Center. 

  2. Be accountable to eh Board and their fellow Board members

  3. Prepare for and participate in all discussion and deliberations of the Board and committees. 

  4. Report potential conflict of interest possibilities as soon as they are realized.  Strictly follow all conflict of interest, code of conduct and confidentiality policies

  5. Attend all Board and Committee meetings and take an active part in all meetings.  

  6. Inform others of the mission, policies, programs and activities of the Catherine Creek Community Center. 

  7. Assist in assessing the performance of the Board of Directors

  8. Serve as a resource for staff; however, all Directors will refrain from making special requests of staff.

  9. Assist in developing and maintaining positive relations among the Board, committees, staff members and community to enhance the mission of the Catherine Creek Community Center. 

  10. By informed of the Bylaws, policies, procedures and budget


As a representative of the Catherine Creek Community center, you may at times have difficult conversations with the public and or members where that needs/wants and opinions or perceptions of the involved parties are diverse, where their feelings and emotions with be strong.  If you prefer, these conversations can be referred to the Board of Directors. 


Additional expectations, especially during meeting; 

  1. Represent the importance of the Catherine Creek Community Center membership to the community and promote the mission of the Catherine Creek Community Center. 

  2. Read all meeting packets and associated documents

  3. Be prepared to ask questions and take part in discussions

  4. Inquire if you need more information or clarification

  5. Bring meeting packets to the meeting

  6. Arrive on time

  7. Volunteer input is requested

  8. The Catherine Creek Community Center does not wish to stifle concerns or questions, however all communication should be professional, respectful, and productive. 

  9. Do not interrupt when someone is talking

  10. Observe timelines

  11. Maintain confidentiality

  12. Be positive

Failure to Comply 

Board Policies and Procedures-  The Board discussed consequences for failure to comply with Board Policies

  1. 1st Offense: The Board member will received a verbal warning from the President of the Board of Directors

  2. 2nd Offense: There sill be a Board member meeting to discuss the offense

  3. 3rd Offense: 3- month suspension pending anonymous Board approved voting ny a quorum

The Board approved the consequences for breaking Board policies.

I, __________________________________________(Name in Full) do solemnly and sincerely declare I will faithfully and honestly fulfill the duties which devolve upon me as an officer if the Executive Committee in the service of the Catherine Creek Community Center operated by the Friends of the Historic Union Community Hall; and I will not, without due authority in the behalf, disclose or make known nay matter or thing which comes to my knowledge by reason of my service with the Friends of the Historic Union Community Hall
